1. The following sales conditions are assumed to have been accepted by the client when a firm order is placed with us. 2. Al offers remain open.We reserve the right to work on a first come first served basis. 3. Prices are based on the EURO - ex works not including packing, dispatch or insurance.We reserve the right to change prices without prior notice.We are unable to process order below a net value of EUR 50,--. However, we are prepared to make allowances in exceptional cases. In the case of orders up to EUR 80,-- net a processing fee of EUR 5,50 will be charged. 4. Packing and transport charges are based on the real cost of the packing and transport itself. 5. Even in the case of pre-paid deliveries, all cost and risks remain the buyer's responsibility. 6. Deliveries will be made as soon as possible, nonetheless all previously stated delivery times are taken as approximate and are, in any case, not binding. If delivery times mightbe affected by circumstances beyond our control, for instance problems with raw material, suppliers etc., we decline responsibility in such an eventuality.We claim the right to make partial shipments, if necessary, and in such a case payment must be made separately for each individual delivery. Should the payment for any delivery remain unsettled,we are not obliged to make any further shipment. 7. For instruments made to order, we only charge according to the real cost of production and it is therefore obvious that we are unable to take them back into the running stock - because of their very nature. We reserve the right to refuse goods already invoiced and accepted as firm order, which may be returned due to circumstances beyond our control. Should we issue a credit note, we further take the right to charge 15 % of the total value as handling charges. 8. Claims of any kind must be made in writing within 10 days after receipt of the goods. Upon acceptance of these claims we will either rectify the faults or send replacements.We do, however, not accept any responsibility. 9. Payment terms - outside of Germany: Payment should be made according to the conditions previously agreed between the buyer and the seller - and should in all cases not betoken any loss for us. Payments made in foreign currency will be credited according to the at that date valid exchange rate for the EURO. The client bear anylosses we may incur as a result of an unfavourable exchange rate, even if payment has been made before such a change. In case of pre-payment we allow a discount of 3 pct. of the net value of the goods, also when payment is made by Letter of Credit. For orders whose value does not exceed EUR 50,-- and in case of repairs full payment must be made within 30 days after date of invoice. Should the settlement not be made within the specified time, we will then levy a charge of 3 % exceeding the at that date valid rate given by the DBB (German Central Bank) as interest without previous reminders - in any case a minimum rate of 7 %. 10. Proprietary rights: All goods dispatched remain our sole property until all outstanding debts are settled. 11. Legal domicile: D-42699 Solingen - Any questions which may arise regarding payment, delivery and obligations will be dealt with in the light of this fact. These conditions also apply in matters of exchange and the remittance of cheques.The contractual relationship is exclusively subject to the laws of the Federal Republic of Germany. |
